Terms and Conditions

Introduction
Welcome to https://easykb.ai/. This Site is owned and operated by FORJIC TECHNOLOGY, LLC ("Forjic Technology LLC," "Company," "we," or "us"). These Terms and Conditions ("Terms") govern your use of our Site and AI-powered database platform, hereafter referred to as "the Site" or "the Platform." These Terms include information about usage, licensing, intellectual property, and data responsibilities. Please read these Terms carefully. By using the Site, you consent to these legally binding Terms as well as our privacy policy ("Privacy Policy"), which is hereby incorporated.
For purposes of these Terms, the following definitions apply:
"Tier 2 Platform User" (also referred to as "you," "User," or "Platform User") means any individual or entity that registers for an account on the Platform to build, configure, or operate custom AI-powered databases or applications.
"Tier 3 End Customer" means any individual or entity whose personal data, records, or information is entered into, processed by, or otherwise handled through the Platform by a Tier 2 Platform User.
"End Customer Data" means any data, including personal information, that a Tier 2 Platform User submits to the Platform relating to Tier 3 End Customers.
The Company is not in a direct contractual relationship with Tier 3 End Customers. All obligations toward Tier 3 End Customers with respect to their data rest with the Tier 2 Platform User acting as Data Controller, as further described herein.
Consent and Capacity
In order to use our services, you must be at least eighteen (18) years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the organization you represent. Your use of our services is conditioned on your acceptance of these Terms. If you do not agree with these Terms, please discontinue your use of the Site. By using our services, you warrant that you are entering into a binding contract with FORJIC TECHNOLOGY, LLC. Areas of the Site may also be subject to additional terms. Any additional terms are not intended to replace or supersede these Terms, but rather supplement these Terms in those specific areas.
The Company reserves the right, in its sole discretion, to refuse account creation, suspend, or terminate any account at any time, with or without cause, including but not limited to violations of these Terms, suspected fraudulent activity, illegal conduct, or any conduct that the Company deems harmful to the Platform, other users, or the Company's interests.
Tier 2 Platform User Consent Obligations
By submitting, uploading, or otherwise entering any End Customer Data into the Platform, you, as a Tier 2 Platform User, expressly represent and warrant that:
- you have obtained all legally required consents, authorizations, and permissions from each applicable Tier 3 End Customer prior to submitting their data to the Platform, including but not limited to consents required under the California Consumer Privacy Act ("CCPA"), as amended by the California Privacy Rights Act ("CPRA") (collectively, "CCPA/CPRA"), the General Data Protection Regulation (GDPR), and any other applicable federal, state, or local privacy law;
- your collection, use, and submission of End Customer Data to the Platform is consistent with your published privacy policy and any representations made to Tier 3 End Customers at the point of collection;
- you have provided Tier 3 End Customers with adequate notice regarding the use of AI-assisted processing of their data; and
- you will promptly notify the Company if you become aware of any withdrawal of consent by a Tier 3 End Customer or any legal obligation to delete or restrict processing of their data.
Failure to comply with the foregoing obligations constitutes a material breach of these Terms and may result in immediate suspension or termination of your account.
Upon account termination or suspension, any unused credits or prepaid services will be forfeited unless otherwise required by applicable law. The Company will not provide refunds for prepaid services, subscriptions, or credits upon account termination. If termination results from Company error or breach, the Company may, at its sole discretion, issue a refund for the portion of prepaid services that were not rendered.
Intellectual Property Rights
Forjic Technology LLC's trademarks, trade names, logos, and other intellectual property incorporated into the Site, including the underlying Platform architecture, AI models, AI orchestration layers, machine learning algorithms, prompt structures, database generation logic, and all related software and technology (collectively, "Company IP"), are the sole property of FORJIC TECHNOLOGY, LLC or its licensors and are protected under copyright, trademark, trade secret, and other applicable intellectual property laws. Copying or distributing any material, illustrations, photographs, video, or content from the Site without prior written consent is strictly prohibited. Any use that constitutes an infringement of the foregoing intellectual property rights is prohibited. We, in our sole discretion, reserve the right to remove any content or take any steps deemed appropriate to protect such rights.
User Data Ownership
As between the Company and the Tier 2 Platform User, the Tier 2 Platform User retains all ownership rights in and to: (i) data and content inputted by the User into the Platform ("User Inputs"); and (ii) the specific database outputs, reports, or structures generated from the User's own Inputs ("User Outputs"). The User grants the Company an irrevocable, perpetual, non-exclusive, worldwide, royalty-free, fully sublicensable license to use User Inputs and User Outputs solely to the extent necessary to operate, maintain, improve, and develop the Platform and to perform the services contemplated by these Terms, including the right to create and use aggregated, de-identified, or anonymized data derived therefrom. This license shall survive any termination or expiration of these Terms or the User's account.
For the avoidance of doubt, the Company retains all right, title, and interest in and to the Company IP, and no license to the Company IP is granted to any User by virtue of these Terms or the User's use of the Platform. User Outputs do not incorporate or transfer any rights to the underlying AI models or Platform technology.
Prohibited Conduct — AI and Platform Integrity
Without limiting Section 4 (User Responsibilities), you expressly agree that you will not:
- reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive or gain access to the source code, underlying algorithms, model weights, training data, or architecture of the AI or any component of the Platform;
- use automated scripts, bots, scrapers, crawlers, or similar tools to extract data, model outputs, or any other information from the Platform beyond what is made available through the Company's authorized API or interface;
- use the Platform or its outputs to develop, train, or improve any competing AI model, product, or service; or
- attempt to probe, test, or circumvent the security, access controls, or rate limits of the AI systems.
Violation of this section may result in immediate account termination and may expose you to legal liability.
Data Retention Following Termination
Following account termination, the Company will retain User Inputs, User Outputs, and End Customer Data for a period of ninety (90) days to allow for data retrieval and to address any outstanding disputes or legal obligations. After this 90-day retention period, the Company will delete or anonymize such data from its active systems. Notwithstanding the foregoing, the Company may retain data for longer periods where required by applicable law, regulation, legal hold, or to comply with its legitimate business interests, including:
- aggregated, de-identified, or anonymized data for analytical and product improvement purposes;
- data necessary to enforce these Terms or defend against legal claims;
- backup copies maintained in accordance with standard business continuity practices, which will be deleted in the ordinary course; and
- data required to be retained under applicable data protection, financial, or recordkeeping laws.
Upon request submitted within the 90-day retention period, the Company will provide written confirmation of data deletion, subject to the exceptions noted above.
User Responsibilities
Users of the Site agree to the following guidelines:
No Obligation to Monitor
The Company expressly disclaims any obligation to monitor, screen, review, or edit user-generated content, whether before or after posting to the Platform. The Company does not pre-screen User Inputs or other user submissions and assumes no responsibility for monitoring user activity or content compliance with these Terms.
- You will keep your username and password confidential. You will not share this information with any other person.
- Account Transfer and Assignment. User accounts are personal to the registered User and may not be transferred, assigned, or shared with any other individual or entity without the prior written consent of the Company. Any attempted transfer or assignment without such consent shall be void. In the event of a corporate merger, acquisition, or sale of substantially all assets, you must notify the Company at [email protected] and obtain written approval before transferring account ownership. The Company reserves the right to approve or deny any transfer request in its sole discretion.
- You will not use another user's login and registration information.
- You will not create fake accounts for the purpose of spamming users or visitors, collecting personal information with or without consent, or any other deceptive practices.
- You will not circumvent, evade, disable, or otherwise interfere with the security of the Site.
- You will not infringe the intellectual property rights of others.
- User Representations and Warranties Regarding Content. By submitting, uploading, posting, or otherwise providing any User Inputs or content to the Platform, you hereby represent and warrant that:
- you own all rights to such content or have obtained all necessary licenses, permissions, and consents to grant the rights set forth in these Terms;
- your content does not and will not infringe, misappropriate, or violate any intellectual property rights, privacy rights, publicity rights, or other proprietary rights of any third party;
- your content is lawful and does not violate any applicable local, state, national, or international law or regulation;
- your content does not contain any viruses, malware, or other harmful code; and
- you have the full right, power, and authority to submit such content and to grant the licenses described in these Terms. You acknowledge that you are solely responsible for all content you provide to the Platform.
Additionally, to access certain portions of the Site, you may be required to provide information. The information you provide must be truthful, accurate, and complete. The information you provide is subject to our Privacy Policy, which is hereby incorporated into these Terms.
Account Closure and Deletion
You may voluntarily close your account at any time by contacting us at [email protected] with a request to delete your account. Upon receipt of such request, we will process your account closure within thirty (30) days. Account closure will result in the deactivation of your access to the Platform and deletion of your account credentials. Please note that certain data may be retained as necessary to comply with legal obligations, resolve disputes, enforce our agreements, or as otherwise permitted by our Privacy Policy. Upon account closure, any licenses granted to you under these Terms will immediately terminate.
Notwithstanding the foregoing, the following provisions shall survive any termination or expiration of these Terms or the User's account: Intellectual Property Rights (including the Company's retained right to use aggregated, de-identified, or anonymized data), Indemnification, Limitation of Liability, Choice of Law, Dispute Resolution, Severability, and any other provision that by its nature is intended to survive termination or expiration.

THE SITE, ITS CONTENT, AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OR GUARANTEE. The appearance of user-generated content on the Platform does not constitute an endorsement, recommendation, or approval by the Company. All user-generated content reflects solely the views and opinions of the user who posted it, not those of the Company. Additionally, the inclusion, integration, or reference to any third-party services, tools, applications, or platforms (collectively, "Third-Party Services") does not constitute an endorsement, recommendation, warranty, or approval of such Third-Party Services by the Company. The Company makes no representations regarding the quality, functionality, security, or reliability of any Third-Party Services.
User Compliance with Third-Party Terms
By accessing or using any Third-Party Services through or integrated with the Platform, you acknowledge that you are subject to and agree to comply with the separate terms of service, privacy policies, and other applicable policies and agreements established by the respective third-party providers. The Company is not responsible for the terms, policies, or practices of Third-Party Service providers. You are solely responsible for reviewing and understanding any third-party terms before using such services. Your use of Third-Party Services is at your own risk, and any disputes arising from Third-Party Services shall be resolved directly with the applicable third-party provider.
Limitation of Liability
TO THE MAXIMUM EXTENT PROVIDED BY APPLICABLE LAW, FORJIC TECHNOLOGY, LLC DOES NOT ACCEPT LIABILITY FOR LOSS OR DAMAGE OF ANY KIND, BE IT DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, EXEMPLARY, INCIDENTAL, ACTUAL, PUNITIVE, OR OTHERWISE, WHETHER IT ARISES FROM PERSONAL INJURY, FINANCIAL LOSS, DATA LOSS, OPPORTUNITY LOSS, THIRD-PARTY USE OR MISUSE, AGGREGATE SERVICE, PERSONAL DISSATISFACTION, OR ANY OTHER DAMAGE RESULTING FROM YOUR USE OF THE SITE. THE FULL ASSUMPTION OF RISK AND THEREFORE RESPONSIBILITY LIES WITH YOU, THE USER AND VISITOR. END CUSTOMER DATA LIABILITY. THE COMPANY ACTS SOLELY AS A DATA PROCESSOR WITH RESPECT TO END CUSTOMER DATA SUBMITTED BY TIER 2 PLATFORM USERS. FORJIC TECHNOLOGY, LLC SHALL NOT BE LIABLE FOR: (I) ANY CLAIMS BY TIER 3 END CUSTOMERS ARISING FROM A TIER 2 PLATFORM USER'S FAILURE TO OBTAIN REQUIRED CONSENTS OR COMPLY WITH APPLICABLE PRIVACY LAWS; (II) ANY UNAUTHORIZED USE, DISCLOSURE, OR BREACH ATTRIBUTABLE TO A TIER 2 PLATFORM USER'S ACTS OR OMISSIONS; OR (III) ANY REGULATORY FINES, PENALTIES, OR ENFORCEMENT ACTIONS ARISING FROM A TIER 2 PLATFORM USER'S NON-COMPLIANCE WITH DATA PROTECTION OBLIGATIONS. TO THE EXTENT THE COMPANY HAS ANY RESIDUAL LIABILITY HEREUNDER, THAT LIABILITY SHALL BE LIMITED IN THE AGGREGATE TO THE AMOUNTS PAID BY THE TIER 2 PLATFORM USER TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THIRD-PARTY SERVICES LIABILITY DISCLAIMER. FORJIC TECHNOLOGY, LLC EXPRESSLY DISCLAIMS ALL LIABILITY ARISING FROM OR RELATED TO ANY THIRD-PARTY SERVICES, INCLUDING BUT NOT LIMITED TO: (I) THE AVAILABILITY, ACCURACY, RELIABILITY, QUALITY, OR PERFORMANCE OF ANY THIRD-PARTY SERVICES; (II) ANY CONTENT, PRODUCTS, INFORMATION, OR FUNCTIONALITY PROVIDED BY THIRD-PARTY SERVICES; (III) ANY ERRORS, DEFECTS, BUGS, OR SECURITY VULNERABILITIES IN THIRD-PARTY SERVICES; (IV) ANY DATA LOSS, SECURITY BREACH, OR UNAUTHORIZED ACCESS OCCURRING THROUGH OR CAUSED BY THIRD-PARTY SERVICES; (V) ANY CHARGES, FEES, OR COSTS IMPOSED BY THIRD-PARTY PROVIDERS; AND (VI) ANY ACTS OR OMISSIONS OF THIRD-PARTY SERVICE PROVIDERS. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING ANY THIRD-PARTY SERVICES AND SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES RESULTING FROM YOUR USE OF OR RELIANCE UPON THIRD-PARTY SERVICES.
Indemnification
You agree to indemnify, defend, and hold harmless FORJIC TECHNOLOGY, LLC, its directors, shareholders, employees, representatives, agents, subsidiaries, assignors, and licensors (collectively, "Indemnified Parties") from and against any and all lawsuits, disputes, claims, proceedings, demands, costs, expenses (including reasonable attorneys' fees), damages, and liabilities arising from or related to:
- any use of the Site or Platform by you or any party acting under your credentials;
- your breach of these Terms or any policy incorporated herein;
- your failure to obtain legally required consents from Tier 3 End Customers prior to submitting End Customer Data to the Platform;
- any claim by a Tier 3 End Customer arising from your processing, use, disclosure, or mishandling of their data;
- your reliance on or use of AI Outputs, including any decisions, products, services, or communications you deliver to Tier 3 End Customers based on AI Outputs;
- your violation of any applicable data protection law, including but not limited to the CCPA/CPRA or GDPR; and
- any infringement of third-party intellectual property rights arising from your User Inputs.
The Company reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with the Company.
Data Controller and Data Processor Roles
For purposes of applicable data protection laws, including the California Consumer Privacy Act (CCPA/CPRA) and the General Data Protection Regulation (GDPR), the parties acknowledge and agree to the following allocation of roles with respect to End Customer Data:
- Tier 2 Platform User as Data Controller. Each Tier 2 Platform User acts as the "Data Controller" (or "Business" under CCPA/CPRA) with respect to End Customer Data. As Data Controller, the Tier 2 Platform User determines the purposes for which and the means by which End Customer Data is processed. The Tier 2 Platform User is solely responsible for: (i) ensuring a lawful basis exists for processing End Customer Data; (ii) responding to data subject access, deletion, correction, and portability requests from Tier 3 End Customers; (iii) maintaining required records of processing activities; and (iv) compliance with all applicable data protection laws in connection with End Customer Data.
- Company as Data Processor. FORJIC TECHNOLOGY, LLC acts as the "Data Processor" (or "Service Provider" under CCPA/CPRA) with respect to End Customer Data, processing such data solely on behalf of, and pursuant to the documented instructions of, the Tier 2 Platform User. The Company shall not: (i) sell End Customer Data; (ii) retain, use, or disclose End Customer Data for any commercial purpose other than performing the services specified in these Terms; or (iii) process End Customer Data outside the scope of the Company's service obligations, except as required by applicable law.
- Data Processing Addendum. To the extent required by applicable law (including GDPR Article 28 or CCPA/CPRA service provider requirements), the Company may make available a Data Processing Addendum ("DPA") governing the processing of End Customer Data. Tier 2 Platform Users who are subject to GDPR or CCPA/CPRA are encouraged to contact the Company at [email protected] to execute a DPA prior to submitting End Customer Data to the Platform.
- Data Subject Requests. If the Company receives a request directly from a Tier 3 End Customer regarding their personal data, the Company will promptly forward such request to the applicable Tier 2 Platform User and shall provide reasonable assistance to enable the Tier 2 Platform User to respond. The Company shall not respond directly to Tier 3 End Customer data subject requests unless expressly instructed to do so by the Tier 2 Platform User or required by law.
- Data Security. The Company will implement and maintain commercially reasonable technical and organizational security measures designed to protect End Customer Data against unauthorized access, disclosure, alteration, or destruction. In the event of a confirmed data breach affecting End Customer Data, the Company will notify the affected Tier 2 Platform User(s) within seventy-two (72) hours of confirming the breach, to the extent the Company has current contact information on file for such User(s), and in accordance with applicable law. The Company will provide reasonable cooperation to support any required breach notifications to Tier 3 End Customers or regulatory authorities; provided, however, that the Tier 2 Platform User, as Data Controller, shall bear primary responsibility for such notifications.
Choice of Law
These Terms and any disputes arising from the use of the Site are governed by and construed according to the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Each party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Massachusetts, and waives any objection to venue or personal jurisdiction in such courts.
Dispute Resolution
We believe that it is beneficial to all parties to quickly resolve any potential disputes as efficiently and cost-effectively as possible. In line with this belief, you agree that any disputes arising from your use of the Site will be handled and resolved according to the provisions of these Terms, unless otherwise explicitly stated. If a dispute arises, you agree to first contact us and attempt to resolve any such issues informally within thirty (30) days. If informal attempts fail, you agree to submit any claim, dispute, or controversy to binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator in Pittsfield, Massachusetts. Each party shall bear its own costs and attorneys' fees, except as otherwise required by law. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, data security obligations, or confidentiality provisions.
Severability
